Terms of Service

1. Agreement to These Terms

These Terms of Service (the Terms) govern your access to and use of Veralens, operated by [Legal entity name] (Veralens, we, us, or our). By creating an account, generating an API key, or otherwise using the service, you agree to these Terms. If you do not agree, do not use the service.

You must be at least 18 years old and able to form a binding contract to use Veralens. If you use the service on behalf of a company or other organization, you represent that you are authorized to bind that organization, and Veralens means both that organization and you.

2. The Service

Veralens is a developer platform that turns images and text into structured data. You submit sources through our REST API or dashboard, we process them as asynchronous extraction jobs, and we return results as JSON, Markdown, or plaintext. The service also includes account management, API keys, prepaid billing, job history, webhooks, and an interactive playground.

Some features are offered as previews or are described as coming soon. Preview features are provided on an as available basis, may change or be withdrawn, and are not guaranteed to reach general availability. We may add, change, suspend, or discontinue parts of the service at any time.

3. Accounts and API Keys

  • You are responsible for the accuracy of your account information and for keeping your credentials and API keys confidential.
  • You are responsible for all activity that occurs under your account and API keys, including usage and charges, whether or not you authorized that activity.
  • API keys are shown once at creation. Treat them as secrets, do not embed them in client side code or public repositories, and rotate them if you suspect exposure.
  • Notify us promptly at support@veralens.ai if you believe your account or a key has been compromised.

4. Acceptable Use

You agree not to, and not to permit anyone else to:

  • Submit content that you do not have the legal right to submit, or that infringes, misappropriates, or violates the rights of others.
  • Submit content that is unlawful, or process personal, sensitive, or regulated data without the permissions and legal basis required for that data.
  • Reverse engineer, decompile, or attempt to derive the source code, models, or underlying methods of the service, except to the extent this restriction is prohibited by applicable law.
  • Resell, sublicense, or expose the service as a substantially similar competing product, or use it to build one.
  • Circumvent or attempt to circumvent rate limits, usage metering, billing, security controls, or access restrictions.
  • Interfere with or disrupt the integrity or performance of the service, or attempt unauthorized access to any system or data.
  • Use the service to develop a product that trains machine learning models on outputs in violation of these Terms.

5. Your Content and Ownership

As between you and Veralens, you retain all rights to the sources you submit (your Inputs) and to the results we return (your Outputs). You grant Veralens a limited, worldwide, royalty free license to host, process, transmit, and use your Inputs and Outputs solely to operate, secure, and support the service and to comply with law.

Veralens and its licensors own the service, including its software, APIs, models, branding, and documentation. Nothing in these Terms transfers those rights to you beyond the limited right to use the service under these Terms. If you send us feedback or suggestions, you grant us a perpetual, royalty free license to use them without restriction.

6. Automated Output and No Reliance

Outputs are generated by automated systems, including machine learning models. They may contain errors, omissions, or inaccuracies, and they are not guaranteed to be correct, complete, or fit for any particular purpose. You are responsible for reviewing and validating Outputs before relying on them.

Outputs do not constitute professional advice, and Veralens is not a substitute for professional judgment in legal, financial, medical, or other regulated contexts. Do not use Outputs as the sole basis for decisions that require human review or that carry legal or safety consequences.

7. Billing, Funds, and Refunds

  • Veralens is prepaid and pay as you go. You add funds to your balance through our payment processor, and usage is deducted from that balance based on the input and output of each job.
  • Prices, engine options, and metering are described in the service and may change. Material pricing changes apply to usage after the change takes effect.
  • Prepaid funds do not expire. Except where required by law, or as we may state in writing, prepaid funds and completed usage are non refundable.
  • You are responsible for any taxes associated with your use, other than taxes based on our net income.
  • Payments are handled by a third party payment processor. We do not store full payment card numbers.

8. Suspension and Termination

You may stop using the service at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if your use poses a security, legal, or operational risk, or if required by law. We may also remove content that violates these Terms. On termination, your right to use the service ends. Sections that by their nature should survive, including ownership, disclaimers, limitation of liability, and indemnification, survive termination.

9. Disclaimer of Warranties

The service and all Outputs are provided on an as is and as available basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, accuracy, and non infringement. We do not warrant that the service will be uninterrupted, secure, error free, or that Outputs will be accurate or reliable.

10. Limitation of Liability

To the fullest extent permitted by law, Veralens and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the service, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total liability for all claims arising out of or related to the service will not exceed the greater of the amounts you paid to Veralens in the three months before the event giving rise to the claim, or fifty United States dollars. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless Veralens and its affiliates from any claims, liabilities, damages, and expenses, including reasonable legal fees, arising out of your Inputs, your Outputs, your use of the service, or your breach of these Terms or of applicable law.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the date above and, where appropriate, provide additional notice. Your continued use of the service after changes take effect means you accept the updated Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of [Governing law jurisdiction], without regard to its conflict of laws rules. You and Veralens agree to the exclusive jurisdiction and venue of the courts located in [Venue], except where applicable law grants you the right to bring a claim elsewhere.
